TradeChainly LLC ("TradeChainly," "we," "us," or "our") provides access to the TradeChainly platform and related services, features, and tools (collectively, the “Service”), subject to your full compliance with these Terms of Service ("Terms") and any applicable supplemental agreements.

By accessing, browsing, or using the Service, you represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction), are legally capable of entering into binding contracts, and you agree to be legally bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST IMMEDIATELY DISCONTINUE USE.

Your agreement with TradeChainly becomes effective upon your first use of the Service and remains in force until terminated in accordance with these Terms. These Terms constitute the entire agreement between you and us and supersede all prior agreements, representations, and understandings (whether written or oral) regarding the Service.

We reserve the right to revise or update these Terms at any time in our sole discretion. Changes will take effect immediately upon posting on the Service. Material changes—such as those affecting fees, renewal terms, or dispute resolution—will be notified to you via email or prominent Service notice. Your continued use of the Service constitutes your acceptance of the revised Terms.

The term “Affiliates” includes our current and future subsidiaries, affiliates, third-party vendors (e.g., AWS, payment processors), contractors, employees, officers, directors, agents, licensors, and all other parties involved in delivering or supporting the Service. Affiliates are third-party beneficiaries of these Terms solely for enforceability purposes, but are not parties to this agreement unless expressly stated otherwise. TradeChainly remains solely responsible for the Service's performance and any claims arising from it.

TradeChainly provides a cryptocurrency trading analytics platform offering various services, including but not limited to: trade journaling, performance analysis, data importation (via read-only API keys, CSV uploads, or manual entry), reporting tools, and strictly informational forecasting features (collectively, the "Services"). All forecasts are generated by proprietary models for educational purposes only and do not constitute financial advice. You are solely responsible for providing all equipment necessary to access and use the Services, including computers, internet connections, and associated fees.

Trade data may be imported through the following methods: (a) providing read-only API keys and passphrases (where applicable) from supported cryptocurrency exchanges, which we store in encrypted format using industry-standard encryption methods, but no system is immune to compromise; (b) uploading CSV files exported from your exchange; or (c) manual entry disconnected from any exchange. You are exclusively responsible for: (i) configuring API credentials with read-only permissions, (ii) maintaining the security of your exchange accounts, and (iii) verifying the accuracy of all imported or manually entered data. TradeChainly disclaims all liability for losses arising from misconfigured API keys (including those permitting withdrawals/trades), compromised credentials, or data inaccuracies.

The Service integrates with third-party charting and exchange data providers. These services operate under their own terms, and TradeChainly disclaims all liability for their functionality. TradeChainly does not endorse and is not affiliated with any third-party providers referenced through the Service. You acknowledge that third-party integrations carry inherent risks and are subject to their own data security practices, which TradeChainly does not control or audit. We do not guarantee the accuracy, completeness, or timeliness of any trade data, forecasts, or third-party content.

TradeChainly reserves the unrestricted right to modify, suspend, or discontinue any Service feature without notice or liability. New features automatically fall under these Terms. Supported exchanges and forecast models may be added or removed at our sole discretion.

To access the Services, you must create an account by registering with a valid email address and password or by using Google authentication. You represent and warrant that all registration information ("Registration Data") you provide is and will remain accurate, current, and complete. Providing false or misleading information may result in the suspension or termination of your account.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. If you become aware of any unauthorized access or suspected security breach, you must promptly notify us at support@tradechainly.com. TradeChainly disclaims all liability for losses arising from your failure to safeguard your credentials or comply with this section.

By registering, you acknowledge and agree that we may collect, process, and store your Registration Data as outlined in our Privacy Policy. This includes necessary disclosures to: (a) payment processors (e.g., Stripe) for billing and subscription management; (b) cloud infrastructure providers (e.g., AWS) for hosting and storage; and (c) law enforcement or regulators when required by law. You also grant TradeChainly a non-exclusive, worldwide license to use aggregated, anonymized data to improve and develop the Services.

We reserve the right to suspend or terminate accounts engaged in credential sharing, fraudulent activity, or violations of these Terms. In certain cases, we may do so without prior notice.

Your use of the site and Services is subject to all applicable laws and regulations, and you are solely responsible for the content of your communications and interactions on or through the site. By accessing or using any interactive or communication features (such as chat rooms, message boards, user submissions, or other forums), you agree not to upload, post, share, transmit, or otherwise distribute or facilitate the distribution of any content, including but not limited to text, software, images, sounds, data, or other material, that:

a. is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, pornographic, or otherwise violates our policies;

b. victimizes, harasses, degrades, or intimidates an individual or group based on religion, gender, sexual orientation, race, ethnicity, age, or disability;

c. infringes upon any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party;

d. constitutes unauthorized or unsolicited advertising, junk or bulk email ("spam"), chain letters, pyramid schemes, or other forms of solicitation;

e. contains viruses, malware, or any software, code, or files designed to disrupt, damage, or gain unauthorized access to any system, data, or personal information;

f. impersonates any person or entity, including any of our representatives, or falsely states or misrepresents your affiliation with any person or entity.

We do not endorse and are not responsible for content submitted by users. We generally do not pre-screen, monitor, or edit user content; however, we reserve the right, at our sole discretion, to remove or modify any content that violates these Terms, our policies, or is otherwise harmful, inaccurate, or objectionable. We are not liable for any delay or failure in removing such content. You waive any claims against us arising from such removal.

Additionally, you may not use your account or our Services to compromise the security of any other account, network, or system. Unauthorized access attempts, including scanning or probing of system security or authentication measures, are strictly prohibited and may result in civil or criminal liability.

You agree not to interfere with or disrupt any other user's use of the site or Services. We reserve the right to suspend or terminate your account, access, or affiliation with the site at any time and at our sole discretion, with or without notice, for any violation of these terms. We will cooperate with law enforcement authorities in investigating suspected criminal activity or violations of system or network security.

TradeChainly offers Services through subscription plans billed in advance on a monthly or annual basis, as specified during purchase. By subscribing, you authorize us to charge your designated payment method automatically at the start of each billing cycle until you cancel. You are responsible for maintaining accurate payment information and for all charges incurred, including any applicable taxes.

All subscription fees are non-refundable, except where expressly required by applicable consumer protection laws. We reserve the right to modify subscription plans, features, or pricing with thirty (30) days' advance notice for existing subscribers, provided through email or prominent Service notification. Price changes will take effect at your next billing cycle.

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period, and no prorated refunds will be issued. Failure to maintain valid payment credentials may result in immediate Service suspension.

This site may contain links to third-party websites or reference information, software, materials, or services provided by others. These third-party sites and resources are not under our control, and we are not responsible for the content, accuracy, legality, appropriateness, or any other aspect of such sites or resources. Some third-party content may be outdated, inaccurate, or objectionable.

These terms and conditions constitute the entire agreement and understanding between us concerning the subject matter of this agreement and supersede all prior agreements and understandings of the parties with respect to that subject matter. These Terms of Service may not be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement, or amend this document or to enter an order for products or services which are subject to additional or altered terms and conditions shall be null and void, unless otherwise agreed to in a written agreement signed by you and us. To the extent that anything in or associated with this site is in conflict or inconsistent with these Terms of Service, these Terms of Service shall take precedence.

In any action to enforce these Terms of Service, the prevailing party will be entitled to costs and attorneys' fees. Any cause of action brought by you against us or our Affiliates must be instituted within one year after the cause of action arises or be deemed forever waived and barred.

You may not assign your rights and obligations under these Terms of Service to any party, and any purported attempt to do so will be null and void. We may freely assign our rights and obligations under these Terms of Service.

You agree not to sell, resell, reproduce, duplicate, copy or use for any commercial purposes any portion of this site, or use of or access to this site.

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of products and services available through our site arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

The Services available through this site are offered by TradeChainly LLC. If you need to report violations of these Terms or have other inquiries, please contact us at support@tradechainly.com. While we review all communications promptly, we cannot guarantee immediate responses to every submission.

a. No Refunds

All payments made to TradeChainly are final and non-refundable, except as expressly required by applicable law. By subscribing to the Service, you acknowledge and agree that no refunds will be issued for any reason, including but not limited to: (i) partial or unused subscription periods; (ii) dissatisfaction with the Service; (iii) account termination (voluntary or involuntary); or (iv) failure to cancel before a renewal.

b. Subscription Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation: (i) you will retain access to the Service until the end of your current billing cycle; (ii) no prorated refunds will be issued for unused time; and (iii) you are solely responsible for ensuring timely cancellation before the next billing cycle.

c. No Liability for Failed Cancellations

TradeChainly is not responsible for any charges incurred due to: (i) failure to cancel before renewal; (ii) technical errors (e.g., system delays in processing cancellations); or (iii) user error (e.g., incorrect cancellation steps).

d. Chargeback Policy

Disputing charges or initiating chargebacks without first contacting TradeChainly may result in immediate account suspension and additional fees to recover dispute-related costs.
